This User Agreement (the “Agreement”) and the policies referred to herein contain the terms and conditions on which GlobaleMenu.com, Global eReservations LLC (“GlobaleMenu”, “we” or “us”) offers you (the “User” or “you”), access to its website w ( the “Site”) and GlobaleMenu.com' services (the “Services”). Among other things, this Agreement describes the User’s responsibilities and limits GlobaleMenu.com’ liability. This Agreement also incorporates by reference all terms, conditions and
program descriptions described elsewhere on the Site. Before using any of the Services, please read all of this Agreement and the Site carefully. In the event of any conflict between this Agreement and any other provisions set forth in the Site, the terms of this Agreement will control.

By using the Services, you state your agreement to be legally bound and to abide by the following terms and conditions. If you do not agree to these terms and conditions, you must not use the Site or the Services.

GlobaleMenu.com, Global eReservations LLC reserves the right, in its sole discretion, to amend this Agreement at any time upon posting notice of the amended terms on the Site, or upon providing notice thereof by electronic or conventional mail or any other reasonable means. The amended terms shall automatically be effective. The User’s continued use of the Site and the Services following GlobaleMenu.com, Global eReservations LLC posting of any changes will constitute the User’s acceptance of such changes. This Agreement may not be otherwise amended except in a writing signed by both parties. This Agreement, in its current form, was posted on the date at the top of the form.

1. TERMS OF SERVICE

(a) To use the GlobaleMenu.com, Global eReservations LLC Site and Services, you must truthfully provide all of the required information requested on the Site, including your real name, phone number and e-mail address. When making reservations, your name and phone number will be provided to the restaurant. You may receive confirmation, cancellation, reminder and thank you emails associated with your reservation. Your email will not be given to any third party.

(b) You are authorized to use the Site and Services solely for your own use, and you agree not to act on behalf of a third party or to allow a third party to have access to your password in order to use the Site or Services.

2. FEES AND SERVICES

Joining and making reservations or purchases through GlobaleMenu.com, Global eReservations LLC is free. You are responsible for paying all fees associated with your reservation or ordering through our service and the Site, and all applicable taxes.

3. GlobaleMenu.com’ SERVICES

(a) The Services. GlobaleMenu.com, Global eReservations LLC is an online Service that enables consumers to view restaurant information and menus, make reservations, and eventually order food over the internet with restaurants. Services enabling consumers to make reservation requests are referred to as the “Reservation” Services.

(b) GlobaleMenu.com, Global eReservations LLC is a Venue. The Site operates as a venue for providing Reservation. Accordingly, GlobaleMenu.com, Global eReservations LLC has no control over the quality or safety of the restaurant products or services that are being offered or obtained through the Site or the truth or accuracy of the product or service descriptions. Please note that sometimes restaurants do not honor reservations they have accepted in a timely fashion, or at all.

(c) Identity Verification. We use many techniques to verify the accuracy of the information our users provide us when they register on the Site. However, because user verification on the Internet is difficult, GlobaleMenu.com, Global eReservations LLC cannot and does not confirm each user's purported identity.

(d) Release. Because we are a venue, in the event that you have a dispute with one or more sellers, you release GlobaleMenu.com, Global eReservations LLC (and our owners, officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

(e) Information Control. We do not control the information provided by other users or sellers that is made available through our system. You may find other user's information to be offensive, harmful, inaccurate, or deceptive. Please use caution, common sense, and practice safe trading when using the Site. Please note that there are also risks of dealing with underage persons or people acting under false pretense. By using this Site, you agree to accept such risks and GlobaleMenu.com, Global eReservations LLC is not responsible for the acts or omissions of users on the Site.

4. FRAUD

Without limiting any other remedies, GlobaleMenu.com, Global eReservations LLC may suspend or terminate your account if we in our sole discretion suspect that you (by conviction, settlement, insurance or investigation, or otherwise) have engaged in fraudulent activity in connection with the Site or any other practices that are offensive, harmful, inaccurate or deceptive.

5. PRIVACY

GlobaleMenu.com, Global eReservations LLC is committed to protecting your privacy. GlobaleMenu.com, Global eReservations LLC will not provide any information regarding your User profile or your transaction history to any third party without your consent (with the exception of providing your name, email address, and contact phone number to restaurants where you used the Services). 6. YOUR INFORMATION

(a) Definition. “Your Information” is defined as any information you provide to us in the registration process, in any public message area (i.e., the feedback area) or through any email feature. You are solely responsible for Your Information, and we act as a passive conduit for your online distribution and publication of Your Information.

(2) Restricted Activities. Your Information (or any items listed) and your activities on the Site shall not:

(a) be false, inaccurate or misleading;
(b) be fraudulent
(c) infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
(d) violate any law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer
protection, unfair competition, antidiscrimination or false advertising);
(e) be defamatory, trade libelous, unlawfully threatening or unlawfully harassing;
(f) be obscene or contain child pornography or, if otherwise adult in nature or harmful to minors, shall be posted only in the Mature Audiences section and shall be distributed only to people legally permitted to receive such content;
(g) contain any viruses, Trojan horses, worms, time bombs, cancelbots, easter eggs or other computer programming routines
that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information;
(h) create liability for us or cause us to lose (in whole or in part) the services of our ISPs or other suppliers

(3) License. To enable GlobaleMenu.com, Global eReservations LLC to use the information you supply us with, so that we are not violating any rights you might have in that information, you agree to grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub licensable (through multiple tiers) right to exercise the copyright, publicity, and database rights (but no other rights) you have in Your Information, in any media now known or not currently known, with respect to Your Information. GlobaleMenu.com, Global eReservations LLC will only use Your Information in accordance with our Privacy Policy.

7. REPRESENTATIONS OF USER

You represent that you:

(a) Understand and will abide by the terms of this Agreement.

(b) Have adequate funds available under the valid, unexpired credit issued to you branded with the MasterCard, VISA or American Express logo to cover purchases

(c) Will not engage in any fraudulent, speculative, deceptive or manipulative act or practice, including using the Reservation Services in bad faith or otherwise misuse the Site or Services in any manner.

(d) Will maintain the confidentiality of your user name and password.

(e) understand and agree that GlobaleMenu.com, Global eReservations LLC has not inspected, verified and has no control over the quality or safety of the restaurant products and services available through this Site, and that GlobaleMenu.com, Global eReservations LLC does not control and does not know whether the restaurant has truthfully and accurately described the products and services or that such products and services meet the criteria of the Reservation Services.

(g) Recognize that any errors contained in information provided by the User when requesting Reservation Services are solely the responsibility of the User and such errors do not excuse the User'sobligation to consummate a transaction on the terms stated in the Reservation Services.
